The Company's purpose is to acquire and manage participations in companies or corporations of all kinds, industrial, commercial and financial, in Switzerland and abroad, in particular in the field of offshore construction and high seas extraction activities; to carry out financing, control and consulting activities for the benefit of the companies and corporations in which it participates and to provide guarantees for them; in general, to carry out all commercial, financial, movable and immovable transactions directly or indirectly related to its purposes. The Company also has the purpose of buying, selling, equipping, chartering, renting and operating ships abroad, in particular in the field of offshore and subsea construction. The Company may take financial or other participations in all companies carrying out similar or related activities and make all investments. It may carry out all operations that are directly or indirectly related to its purpose. The Company may carry out all financial transactions and provide all guarantees, mainly in favor of the companies of the Allseas Group. The Company may grant loans and other direct or indirect financing, including by participating in cash pooling operations, to its direct or indirect subsidiaries as well as to third parties, including its direct and indirect shareholders and their direct or indirect subsidiaries, and provide securities of all kinds for their commitments, including by way of pledge, transfer by way of security and guarantee, even if these financings or securities are granted without the Company receiving remuneration or consideration.
