General Terms and Conditions (GTC)
1. Scope
These General Terms and Conditions (the “GTC”) govern the contractual relationship between cohaga AG, Fürstenlandstrasse 41, 9000 St. Gallen (“cohaga” or “we”) and its customers (the “Customer”) regarding the use of the ranq.ch platform and all associated services.
By registering, claiming a company profile or purchasing a paid service, the Customer accepts these GTC without reservation. Diverging terms of the Customer apply only if expressly acknowledged in writing by cohaga.
2. Services
ranq.ch is a Swiss company directory that aggregates, verifies, structures and makes publicly available company information accessible to AI systems. Companies may claim a free basic entry or purchase additional paid services (e.g. enhanced profiles, content generation).
cohaga reserves the right to adjust, expand or discontinue the range of services at any time, insofar as this is reasonable for the Customer.
3. Conclusion of contract
The contract is concluded through the Customer's registration or the order of a paid service and its confirmation by cohaga. The presentation of services on ranq.ch does not constitute a binding offer but an invitation to submit an offer.
4. Prices and payment
A company's basic entry is free of charge. For paid services, the prices shown at the time of order apply. All prices are in Swiss francs (CHF) and exclusive of statutory value added tax, unless stated otherwise.
Invoices are due for payment within 30 days of the invoice date without deduction. In the event of default, cohaga is entitled to charge default interest of 5% as well as reminder fees.
5. Customer obligations
The Customer undertakes to provide only truthful, current and complete information. The Customer ensures that it is entitled to disclose and use the submitted information. The Customer is liable for all consequences of incorrect or incomplete information.
6. Liability
cohaga is liable for direct damages only in the event of intent or gross negligence. Liability for indirect damages, consequential damages, lost profit or data loss is excluded to the extent permitted by law.
cohaga does not warrant the constant, uninterrupted availability of the platform, nor the completeness and timeliness of third-party data displayed.
7. Termination
Free basic entries can be deleted by the Customer at any time. Paid subscriptions can be terminated subject to a notice period of 30 days to the end of the respective contract period, unless otherwise agreed.
8. Changes to the GTC
cohaga is entitled to amend these GTC at any time. Changes are communicated to the Customer in an appropriate form and are deemed approved unless the Customer objects in writing within 30 days.
9. Applicable law and place of jurisdiction
Swiss law applies exclusively, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is St. Gallen, Switzerland.
