The Company's purpose is, in Switzerland and/or abroad: (i) to purchase, sell, hold, administer and manage all participations in all companies in Switzerland and/or abroad, primarily in the field of confectionery, sale and distribution of prepared meals and beverages, operation and management of cafes, restaurants, bars, canteens, beverage outlets and other public establishments as well as all other similar businesses, such as take-out sales, catering services, subcontracting of restaurant services, delivery services and all service activities in the field of catering, excluding companies (with their registered office in Switzerland) whose purpose is the acquisition of real estate within the meaning of the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE); (ii) to file, acquire, hold and sell patents or all intellectual property rights and to acquire, hold and grant licenses; (iii) to grant loans and other direct or indirect financing to its direct and indirect subsidiaries and to third parties, including direct and indirect shareholders as well as the direct and indirect subsidiaries of these shareholders, including but not limited to within the framework of cash pooling agreements, and guarantees for the obligations of these companies, including through pledges or fiduciary transfers of the Company's assets, or through guarantees of any kind, remunerated or not.
