The sole purpose of the company is the fiduciary holding and management of mortgage loans and the associated collateral of Aareal Bank AG (registered in the commercial register of the Wiesbaden District Court, Germany, under the number HRB 13184), which are used by the latter to cover the mortgage bonds issued by it. The company may not carry out any transactions that do not directly or indirectly serve the company's purpose. In particular, it is prohibited from acquiring or holding real estate. The company may not participate in any companies. It may neither provide security for itself or third parties, nor grant guarantees, sureties and the like in favor of third parties.
