The company's purpose is the production, trade, distribution and marketing of alcoholic and non-alcoholic beverages of all kinds as well as other food and luxury goods; and all business activities related thereto, in particular, among other things, the marketing of the company's or one of its subsidiaries' trade names and trademarks in such a field of activity. The company may establish branches and subsidiaries in Switzerland and abroad. It may acquire, hold and sell capital or other participations in joint-stock companies, partnerships, limited liability companies and other legal entities in Switzerland and abroad and participate in other legal entities in Switzerland and abroad, regardless of whether these legal entities are active in the beverage industry or a related business. It may also engage in all business activities that are directly or indirectly related to the aforementioned purpose of the company. Without limiting the foregoing, the company may acquire, encumber, sell and manage intellectual property rights as well as real estate in Switzerland and abroad within the framework of the Federal Act on the Acquisition of Real Estate by Persons Abroad. The company may grant direct or indirect financing to third parties, including direct or indirect shareholders of the company or companies in which they are involved, whether by way of loans or other financing or by providing security of any kind, whether against payment or not, and conclude cash pooling agreements with other group companies.
