The purpose of the company is to invest in listed and unlisted securities, namely but not exclusively shares, participations, debt securities, options, structured products, etc. It includes the acquisition, holding, management and disposal of participations and companies of all kinds in Switzerland and abroad, as well as the execution of all commercial transactions related thereto. The company may establish branches and subsidiaries in Switzerland and abroad and conduct all commercial, financial or other transactions that are directly or indirectly related to its purpose. The company may acquire, manage, encumber and dispose of real estate in Switzerland and abroad. It may also provide financing for its own account or for the account of third parties, as well as guarantees and sureties for its subsidiaries and third parties. Furthermore, the company may grant loans or other financing to third parties, including its direct or indirect shareholders or their direct or indirect subsidiaries, conclude cash-pooling agreements with these third parties, and provide securities and guarantees of all kinds for their liabilities, both for consideration and gratuitously, in particular even if such transactions are in the exclusive interest of these third parties. Transactions prohibited by the Lex Koller are excluded.
