The purpose of the company is to acquire and manage participations in companies, mainly in connection with viticulture, wine production and wine trade. It can establish subsidiaries and branches in Switzerland and abroad, participate in related companies, and acquire, hold, manage, encumber, utilize and sell real estate and intellectual property rights. The company can also carry out all commercial, financial and other activities that appear to promote the purpose of the company or are related to it. The company can grant direct or indirect financing to its direct or indirect subsidiaries as well as to third parties, including its direct or indirect shareholders and their (direct or indirect) subsidiaries, provide collateral of any kind, including by way of pledges or fiduciary transfers or assignments of assets of the company or guarantees, enter into joint and several liabilities or guarantees, or otherwise secure or guarantee obligations of these other companies, whether for consideration or not. The company can grant such intra-group financing even if it is in the sole or primary interest of the financed company.
