The purpose of the company is to acquire, manage and dispose of participations of all kinds in companies in Switzerland and abroad, in particular, but not exclusively, those that are primarily involved in the protection, management and exploitation of trademarks. The company also aims to establish, own, use, manage, license, develop, maintain, exploit, manage, maintain and protect rights to intellectual and industrial property, in particular trademarks, patents, copyrights, know-how and other intangible assets and the assets that grant them. It can carry out research and development activities and provide services, in particular corporate and management services. It can also develop and implement projects in this area, in particular projects for the development of environmentally friendly production processes. The company can enter into contracts related to swap, forward, hedge or other derivative financial instruments, in particular with regard to commodities, consumer goods, currencies and interest rate transactions. The company can carry out all commercial, financial and other activities and conclude contracts that appear to promote the purpose of the company or are directly or indirectly related to it. It can, in particular, take out loans, bonds or other types of debt withinels within the scope of the company's purpose. The company can establish branches and subsidiaries in Switzerland and abroad, merge with companies in Switzerland and abroad, and acquire, hold, encumber, manage, use and dispose of real estate in Switzerland and abroad. The company can grant direct or indirect financing to its direct or indirect subsidiaries as well as to third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, and provide security of all kinds for its own liabilities as well as those of other companies (including direct or indirect shareholders of the company or companies in which these shareholders are directly or indirectly involved), including by way of pledges on or fiduciary transfers or assignments of the company's assets, or provide guarantees, enter into suretyships or otherwise secure or guarantee the obligations of these other companies, whether for consideration or not. Furthermore, it can conclude cash pooling agreements with the aforementioned companies or operate a liquidity adjustment/concentration of net liquidity (cash pooling) or join such an agreement, including periodic account balancing.
