The purpose of the company is to provide consulting and services to clients focusing on investments in infrastructure, utilities, renewable energy, industries and materials sectors. The company may establish branches and subsidiaries in Switzerland and abroad, participate in other companies in Switzerland and abroad, acquire, manage, use and transfer licenses, patents and other intellectual property rights, and conduct all business directly or indirectly related to its purpose. The company may acquire, encumber, sell and manage real estate in Switzerland (in compliance with the provisions of the Federal Act on Acquisition of Real Estate by Persons Abroad) and abroad. Furthermore, the company may grant loans or other financing to third parties, including its direct or indirect shareholders or their direct or indirect subsidiaries, enter into cash pooling agreements with these third parties, and provide securities and guarantees of all kinds for their liabilities, both for consideration and gratuitously, in particular even if such transactions are in the exclusive interest of these third parties.
