The company aims to develop, manufacture, install, and trade ceiling systems, cooling and heating ceilings, as well as wall claddings and partition systems in Europe, excluding Switzerland. It can acquire, hold, manage, develop, renovate, encumber, and sell real estate and properties domestically and abroad, and in this context, conduct financing, investment, and lending transactions, provide guarantees, and grant securities to third parties, as well as generally engage in any business activity and enter into any type of contract that can serve to promote the company's purpose and is directly or indirectly related thereto. Excluded are transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company can establish branches and subsidiaries domestically and abroad, participate in other companies domestically and abroad, and assume representations. In pursuing its corporate purpose, the company can consider the interests of the shareholders. In particular, the company can grant loans and other direct or indirect financings to its direct and indirect subsidiaries and third parties, including within the framework of cash pooling agreements (incl. Zero Balancing), and provide securities of any kind for the liabilities of these parties, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind. This can also be done without consideration, on preferential terms, without interest, excluding the company's profit-seeking and/or assuming clustering risks.
