The Company's purpose is to engage in wealth management activities within the meaning of Article 17 paragraph 1 LEFin, investment advice within the meaning of Article 19 LEFin, from Switzerland, as well as wealth management consulting and corporate consulting. Activities that require authorization as a bank, securities firm, fund management, or collective wealth manager are explicitly excluded. The company may establish branches and subsidiaries in Switzerland and abroad. It may acquire, hold, administer, manage and sell, in Switzerland and abroad, all participations, in the sense of a holding, in all companies and businesses, provided that the company or business may hold, in Switzerland, a participation in a real estate company or business if (i) the shares of the latter are listed on a stock exchange in Switzerland or if (ii) the real estate company or business has the purpose of acquiring buildings for exclusively commercial use. It may grant loans to its shareholders or third parties, guarantee loans subscribed by its shareholders or third parties, secure these loans by issuing or pledging mortgage bonds, or by subscribing to any other financial commitment, pledge its assets to secure any claim. The Company may also carry out all operations that are directly or indirectly related to its purpose and that promote or facilitate its development.
