The purpose of the company is the management of intellectual property, including the examination of the acquisition of trademarks, trade names and brand names, the development and registration of trade names and brand names, the protection of intellectual property, the management of intra-group and third-party license agreements, the management of license fees including administrative processing, the management of cash flow and the examination of investment opportunities. The company may establish branches and subsidiaries in Switzerland and abroad and participate in other companies in Switzerland and abroad. The company may acquire, hold and sell real estate. The company may engage in all commercial, financial and other activities that are related to the purpose of the company. The company may provide direct or indirect financing to its direct or indirect subsidiaries and third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, for its own liabilities and those of other companies (including direct or indirect shareholders of the company or companies in which these shareholders are directly or indirectly involved), provide security of all kinds, including by way of pledges on or fiduciary transfers or assignments of the company's assets, or guarantees, enter into sureties or otherwise secure or guarantee the obligations of the company or these other companies, whether remunerated or not. Furthermore, it may operate a liquidity compensation/concentration of net liquidity (cash pooling) with the aforementioned companies or join such a system, including periodic account balancing. All of this may be done by the company without consideration, on preferential terms, without interest, excluding the company's profit motive and assuming cluster risks.
