The company may create subsidiaries and branches and hold participations in all companies. However, participation in and formation of companies with their registered office in Switzerland and whose actual purpose is the acquisition of real estate in Switzerland that does not serve as a permanent establishment for a commercial, manufacturing or other business operated in a commercial form, a craft business or a liberal profession, are excluded, unless the shares of these companies are listed on a stock exchange in Switzerland. The company may acquire, hold, encumber and dispose of real estate in Switzerland for operational purposes (establishment properties), foreign real estate and intellectual property rights. The company may perform all commercial, financial or other operations that are directly or indirectly related to its corporate purpose. The company may grant loans and other direct or indirect financing to group companies and third parties, including its shareholders (direct and indirect) and companies of their groups, including in the context of centralized cash management agreements (cash pooling), and provide collateral of all kinds for their obligations, including through pledges or fiduciary transfers of the company's assets or guarantees of all kinds, for consideration or not.
