The company's purpose is to operate assistance insurance and reinsurance in Switzerland and abroad, directly or indirectly, on its own account or on behalf of others. The activity includes all assistance, aid or advisory operations for persons in difficulty during travel or absence from their home or permanent place of residence. The company may carry out all financial operations directly or indirectly related to the above-mentioned activities or intended to facilitate their implementation. The company may hold participations in insurance companies or in other types of companies. The company may establish branches and subsidiaries in Switzerland and abroad and participate in other companies with similar purposes in Switzerland and abroad. It may acquire, hold and dispose of real estate in Switzerland and abroad and, in addition, carry out all legal acts that may be involved in the company's purpose, including providing guarantees or other securities in favor of companies close to the company. The Company is part of the Generali Insurance Group (Gruppo Assicurativo Generali). As such, it is required to comply with the instructions issued by the Group's parent company in the exercise of its management and coordination activities. These instructions must be observed, within the limits of applicable legislation, in order to implement the measures decided by IVASS (Istituto per la Vigilanza sulle Assicurazioni) in the interest of the Group's stable and efficient management. The members of the Company's Board of Directors provide the Group's parent company with all the data and information necessary to implement these instructions, in compliance with applicable law.
