The purpose of the company is to develop and/or acquire, hold and manage a portfolio of patents or other intellectual property of any kind or origin, and to grant franchises for patents or intellectual property that it has developed and/or acquired or licensed. It can acquire or hold participations and investments in any form, in Switzerland and in foreign companies or other economic entities, and acquire or transfer shares, bonds, debentures or other securities of any kind by purchase, subscription or otherwise. It can participate in the establishment, development, management and control of a company or undertaking. It can take up loans in any form and proceed to the issue of bonds, debentures, promissory notes and similar securities by private placement. The company can establish branches and subsidiaries in Switzerland and abroad, participate in other companies, take over representations and carry out any business activity and conclude contracts of any kind that may be beneficial to the company's purpose or are directly or indirectly related to the company's purpose. The company can acquire, hold, manage, encumber and sell real estate in Switzerland and abroad. Excluded are transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company is part of a group and can take into account the interests of the group in pursuing its purpose. In particular, the company can grant loans and other direct or indirect financing to its direct and indirect subsidiaries and third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, including within the framework of cash pooling agreements (including zero balancing), and provide collateral of any kind for the obligations of these parties, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind. This also without consideration, on preferential terms, without interest, to the exclusion of the company's profitability and/or by assuming cluster risks.
