The purpose of the company is to operate river cruises. The company may provide administrative, financial, accounting, commercial and all other services to group companies that they need in the context of the development of the group's activities. In particular, the company may provide funds directly or indirectly to its direct or indirect subsidiaries and third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, provide security for its own liabilities and liabilities of other companies (including direct or indirect shareholders of the company or companies in which these shareholders are direct or indirect shareholders), including pledges or fiduciary transfers or assignments of the company's assets, or assume guarantees, enter into securities or otherwise secure or guarantee the company's liabilities or those of these other companies, whether for consideration or not. Furthermore, the company may, together with the aforementioned companies, operate a liquidity adjustment/concentration of net liquidity (cash pooling) or participate in such cash pooling, including periodic account balancing, all of this free of charge, on preferential terms, without interest, excluding the company's intention to make a profit and assuming cluster risks. The company is authorized to open and maintain domestic and foreign branches, represent third parties, conduct business, conclude contracts and take all other measures or engage in other activities that are suitable to promote the purpose of the company or lie directly or indirectly within its activities. The company may also, subject to applicable statutory provisions (in particular the BewG), acquire, manage, encumber and dispose of real estate in Switzerland and abroad.
