The acquisition may be direct or indirect, through the creation of a company in Italy. The Company may carry out all commercial, financial or other operations that are directly or indirectly related to its corporate purpose. The Company may provide direct or indirect financing, whether in the form of loans and/or in any other form of financing, including in the context of treasury operations (cash pooling) with or without remuneration, to third parties or to companies in which it holds direct or indirect participations. The Company may also provide all kinds of securities or guarantees to secure its obligations or the obligations of each of these persons, including in the form of pledges, assignments or transfers as securities, guarantees of any kind or indemnification commitments, with or without remuneration. The Company may provide such financing, securities or guarantees even if it is in the exclusive interest of third parties or companies in which it holds direct or indirect participations.
