1. The financing of Givaudan group companies as well as the centralized management of treasury (cash pooling and netting). In particular, the Company may grant direct or indirect financing to its direct or indirect subsidiaries as well as to third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, for their own commitments as well as for those of other companies (including direct or indirect shareholders of the Company or companies in which these shareholders have a direct or indirect participation), issue securities of any kind, including through pledges on the Company's assets or fiduciary transfers or assignments of the Company's assets, issue guarantees, provide guarantees or otherwise secure or guarantee obligations of the Company or these other companies, with or without remuneration. Furthermore, it may operate or associate with the companies mentioned above in liquidity compensations/centralizations of net liquidity (cash pooling), including periodic balance adjustments (balancing). The Company may also do all this without consideration, on preferential terms, without interest, excluding the Company's profit motive and incurring a concentration of risks. 2. The Company may establish branches and subsidiaries in Switzerland and abroad and take participations in other companies in Switzerland and abroad. 3. The Company may acquire, hold, manage, pledge, exploit and alienate real estate and intellectual property rights in Switzerland and abroad. 4. The Company may carry out all commercial, financial and other activities suitable to promote its purpose or related to it.
