The company's purpose is the development, realization and management of hotels for patients, hotels located near health institutions as well as care and aftercare facilities, primarily in Switzerland. The company may establish branches and subsidiaries in Switzerland and abroad, participate in other companies, assume representations and exercise any commercial activity and conclude contracts of any kind that may be useful to the company's purpose or have a direct or indirect connection with the company's purpose. The company may acquire, hold, manage, encumber and sell real estate in Switzerland and abroad. Excluded are transactions prohibited by the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE). The company is part of a group and may take into account the interests of the group in pursuing its company purpose. In particular, the company may grant loans and other direct or indirect financing to its direct and indirect subsidiaries as well as to third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, including within the framework of centralized treasury management agreements (cash pooling) (including periodic account compensation [zero balancing]), and provide collateral of all kinds for the obligations of these parties, including by means of pledges or fiduciary transfers of the company's assets or guarantees of all kinds. The company may also provide guarantees without consideration, on preferential terms, without interest, excluding any profit-making purpose of the company and/or taking cumulative risks.
