The company's purpose is the installation and maintenance of technical products related to security and fire protection of movable and immovable property (intumescent paint, fire-stopping); industrial paints, the purchase, sale, exploitation and representation of all patents, rights and licenses related to the company's purpose, in Switzerland and abroad; the trade of all goods, in Switzerland and abroad; the import and export of all goods related to the company's purpose. The company may carry out, either on its own account or on behalf of third parties, all financial, commercial, industrial, real estate or movable transactions, directly or indirectly related to its corporate purpose, create branches or subsidiaries in Switzerland and abroad; participate in all companies having a direct or indirect relationship with its purpose and grant loans or guarantees to associates or third parties, if it serves its interests. The company may execute financing transactions, grant loans to third parties as well as to group companies and to direct or indirect shareholders of the company and grant securities of any kind for its own commitments or for the commitments of the aforementioned companies vis-à-vis third parties, including pledges, security transfers and guarantees, even if these loans or securities are in the exclusive interest of the aforementioned companies and are granted without the company receiving remuneration in return. Furthermore, it may conclude cash pooling contracts with other group companies.
