The company's purpose is the trade of construction materials, oil and gas equipment, raw materials, offshore activities, purchasing and re-exporting. It may establish branches, subsidiaries, representative offices and liaison offices in Switzerland and abroad, participate in companies with a similar purpose, and acquire, hold, manage, encumber, exploit and sell real estate and intellectual property rights, and carry out all legal transactions related to its purpose. The company may, in particular, provide financing and grant securities of any kind in favor of affiliated companies or other companies, or insure or guarantee the obligations of these companies. The company may engage in all commercial, financial and other activities and provide financing and grant securities of any kind that appear to be in the interest of the company, related to the company's purpose or in the interest of the YARED group, affiliated companies or individual companies of the group. The company may provide direct or indirect financing to its direct or indirect subsidiaries and to third parties, including its direct and indirect shareholders and their subsidiaries (direct or indirect). It may provide any type of guarantee for its own obligations and the obligations of other companies (including its direct and indirect shareholders or companies in which their shareholders hold a direct or indirect participation), including through pledges, fiduciary transfers or fiduciary assignments of the company's assets, or provide guarantees, enter into security agreements or guarantee in any other way the obligations of the company or these other companies, whether for consideration or not. Furthermore, the company may carry out liquidity balancing/net liquidity concentration (cash pooling) with these companies or participate in such cash pooling, including periodic account balancing. The company may also do so on preferential terms without interest, excluding the pursuit of profit by the company and taking consolidation risks.
