The company's purpose, internationally, is to trade, mainly in the field of fertilizer products, including urea-ammonium nitrate (UAN), urea and ammonia products; to market; to take participations; to advise the Koch group companies and third parties; to exploit patents and other intangible assets. The company may also perform any act and conclude any contracts that serve directly or indirectly its purpose or are directly related to its purpose. The company may (directly or indirectly) grant loans or provide any other form of financing to its direct or indirect parent companies and direct or indirect subsidiaries or those of these parent companies. The company may grant guarantees, securities and other commitments of any kind regarding the obligations of these companies, including through fiduciary transfers or assignments of the company's assets or pledges on these assets. The company may also set up and participate in cash pooling mechanisms and arrangements of any form. Any transaction referred to in this paragraph may be carried out independently of any risk concentration and with or without compensation. The company may establish branches and subsidiaries in Switzerland and abroad and acquire, manage, hold and sell real estate.
