Within the framework of a long-term personnel policy, the Julius Baer Group AG intends to compensate employees of the Julius Baer Group AG and its subsidiaries for long-term cooperation, in addition to other compensation and incentive plans, through a Long Term Incentive Plan. In line with the purpose of the foundation, it can also support other foundations and organizations worldwide that are dedicated to the same or similar purposes. The foundation can provide the aforementioned services to companies and their employees that are not part of the Julius Baer Group AG, provided that they have a close economic relationship with the Julius Baer Group AG, such as in the context of corporate spin-offs or sales of companies or business units, acquisitions and mergers, or close cooperations (e.g. joint ventures, etc.). To this end, the Julius Baer Group AG and/or individual subsidiaries of the Julius Baer Group AG, or the respective companies not part of the Julius Baer Group AG, will endow the foundation with certain amounts in the form of shares and/or options and/or other financial resources. The purpose of the foundation is to be achieved through the preservation, increase, and securing of the foundation's assets. The foundation will receive the necessary funds to fulfill its purpose from the income of the foundation's assets, as well as from contributions from the Julius Baer Group AG and its subsidiaries, or from the respective companies not part of the Julius Baer Group AG. If the purpose of the foundation cannot be fulfilled solely through the income of the foundation's assets, the foundation's assets may also be used to cover the necessary funds. The use of the available funds from the foundation's assets is the responsibility of the foundation board, in accordance with the purpose of the foundation.
