The Company's purpose is to participate in enterprises in Switzerland and abroad, particularly in the food industry, to create, acquire and promote such enterprises, to acquire shares, bonds and other securities in such enterprises, and to resell or dispose of such participations and acquired securities in any other way. The Company may establish branches and subsidiaries in Switzerland and abroad. The Company may acquire, hold, manage, pledge, utilize and alienate real estate and intellectual property rights in Switzerland and abroad, as well as finance other companies, except for operations prohibited by the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE). The Company may grant loans, secured or unsecured, or provide guarantees or collateral to shareholders, direct or indirect subsidiaries, parent or sister companies or third parties. Furthermore, it may operate or participate in cash pooling/netting arrangements, including periodic balance adjustments, with companies of the group to which it belongs. The Company may also do all of this without consideration, on preferential terms, without interest or other remuneration, excluding the Company's profit motive and incurring a concentration of risks. The Company may engage in all commercial, financial and other activities suitable to promote its purpose or related thereto, taking into account, to the extent permitted by law, the interests and general orientation of the group to which it belongs. In pursuing its corporate purpose, the Company aims to create sustainable long-term value.
