The purpose of the company is to grant intra-group loans in US dollars to the legal entities of the Magna Group; the company may also issue guarantees for loans granted to the legal entities of the Magna Group by third parties, or otherwise support such third-party financing. The company may carry out all activities from its head office and offer corporate and other management consulting services. The company may engage in all commercial, financial and other activities that appear to promote the purpose of the company or are connected therewith. The company may establish branches and subsidiaries in Switzerland and abroad and acquire and dispose of businesses. The company is part of the Magna Group and may take into account the interests of the Magna Group in pursuing its corporate purpose. In particular, the company may grant loans in US dollars and other direct or indirect financing to its direct and indirect subsidiaries, including its direct and indirect shareholders and their direct and indirect subsidiaries, and provide collateral of all kinds for the obligations of these parties, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind, whether paid or unpaid.
