The purpose of the company is to direct and coordinate, on an international level, the medical activities of Medos and its affiliated companies, in particular: the trade in medical products and all related products; the production, development and supply of such products; market research and scientific development in the field of medical products; acting as an intermediary and/or commissioned agent; providing services as well as commercial and technical advice to affiliated companies; acquiring, holding and granting licenses as well as exploiting patents and know-how, trademarks and other intellectual property. The company is part of the Johnson & Johnson group and conducts its business in accordance with the group's objectives as far as possible. Therefore, the company may, in the interest of the group companies or one of them (including group companies that hold it, directly or indirectly, as well as their direct or indirect subsidiaries), conclude contracts and, in particular, grant loans or other forms of financing to these group companies and provide all kinds of securities for their obligations, including through pledges, transfers or assignments for security purposes of the company's assets or through guarantees of any kind, whether for consideration or not.
