The purpose of the company is to provide services related to the procurement, manufacturing/supply chain, distribution and sale of floor coverings and all types of surface coverings for private and commercial spaces for all business areas of the Mohawk Group. It can also perform other services and activities. The company can establish subsidiaries and branches in Switzerland and abroad. The company can acquire, manage, encumber and sell participations and real estate in Switzerland and abroad, subject to the applicable statutory provisions (in particular the Federal Act on Mergers and Acquisitions). The company can conclude transactions with or for the benefit of affiliated companies, in particular its direct or indirect shareholders and other group companies, whether against payment or not. It can in particular grant loans and other direct or indirect financing to group companies or provide securities for their obligations, including within the framework of cash pooling agreements.
