The Company's purpose is to own, charter, operate and manage ships (such management includes, but is not limited to, determining the use of ships and chartering them) in Switzerland and abroad. The Company may carry out all commercial, financial, real estate (if the real estate held through participations or buildings are located in Switzerland, they may only have an exclusively commercial use) or movable transactions, and conclude all contracts having a direct or indirect connection with its purpose and promoting its development. It may also establish branches and subsidiaries in Switzerland and abroad, and acquire, hold, administer and dispose of real estate (in Switzerland, exclusively commercially used buildings) and intellectual property. The Company may also acquire participations in other companies and acquire companies with an identical or similar purpose (in the case of companies holding real estate located in Switzerland, such real estate must have an exclusively commercial use). The Company may also grant loans or any other form of financing to affiliated companies, as well as provide any type of security, for the direct or indirect benefit of affiliated companies (or third parties), in particular in the form of guarantees, pledges or fiduciary transfers of the Company's assets.
