The purpose of the company is: (i) the private placement (and not the regulated distribution) of shares in investment funds to professional and institutional clients (and not to the public (retail)), in Switzerland and in certain countries of the European Union: France, Germany, Belgium, Luxembourg, if it concerns shares or stocks of funds or collective investment schemes or alternative investment funds, if these funds are managed by supervisory authorities approved portfolio management companies, if these funds aim to hold, directly or indirectly, real assets worldwide and in the areas of real estate, infrastructure and alternative investments. (ii) In general, the procurement of equity or debt capital desired by investment companies and their managers as well as by licensed portfolio management companies. (iii) Accordingly, the company may offer financial advisory services for investments or financings as well as hedging through financial instruments. The company may participate in other companies, acquire, exploit, manage and sell properties and intellectual property rights, establish subsidiaries and branches in Switzerland and abroad, and furthermore, carry out all legal transactions that may be necessary or suitable to promote the purpose of the company or the development of group companies. In addition, the company may participate directly or indirectly in group financing, in particular by granting loans to its direct or indirect shareholders or other group companies or by providing guarantees, sureties or other securities of any kind for their liabilities to third parties, even if these loans or securities are in the exclusive interest of its direct or indirect shareholders or other group companies and are granted free of charge.
