The Company's purpose is the research, development, production, purchase, and sale of all types of medical and pharmaceutical products, particularly in the field of oncology. The Company may purchase, permanently manage, and sell intellectual property rights and shares in companies of all kinds in Switzerland and abroad, particularly in the medical and pharmaceutical fields. It may finance other companies. The Company may open branches and subsidiaries in Switzerland and abroad, take over representations, engage in any commercial activity, and conclude any contracts of any nature that seem appropriate to promote the Company's purpose or are directly or indirectly related to that purpose. It may acquire, hold, encumber with real rights, or alienate real estate in Switzerland and abroad, except for transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (LFAIE). The Company may take into account the interests of its direct and indirect shareholders in pursuing its purpose. The Company may grant loans and other forms of direct or indirect financing, including under cash pooling agreements, to its direct or indirect subsidiaries and to third parties, including its direct and indirect shareholders and the direct or indirect subsidiaries of the latter, and provide security for the obligations of these companies, including by means of pledges, fiduciary transfers of the Company's assets, or guarantees of any nature, whether remunerated or not.
