The company's purpose is (i) to acquire, manage and dispose of participations in domestic and foreign companies of all kinds, in particular companies active in the trade of coal and coal products, and (ii) to trade in coal and coal products, in particular wholesale, futures trading, as well as the import and export of raw materials, metals, organic materials, semi-finished and finished products of all kinds, in particular the trade in coal-based products including fuels, calcined petroleum coke, boiler coal, coke coal, anthracite coal and activated carbon. The company directs its business activities, to the extent permitted, towards the group's objectives. Accordingly, the company may, in the interest of the group or individual group companies (including their direct or indirect parent companies and their direct or indirect subsidiaries), conclude contracts and in particular grant loans or other financing to such group companies and provide security for their liabilities of all kinds, including by way of pledges on or security assignments and security transfers of the company's assets or by way of guarantees of any kind, whether against payment or not. The company may establish branches and subsidiaries in Switzerland and abroad and acquire, hold, sell or finance any type of business. The company may acquire, hold and sell real estate. It may engage in all commercial activities that are directly or indirectly related to the company's purpose and take all measures that appear to promote the company's purpose or are related to it.
