The Company's purpose is, in Switzerland and abroad, (a) to acquire, subscribe, sell and manage securities, shares and participations, and in particular, but not exclusively, to hold such securities, shares and participations by the existing family business for over a hundred years; as well as to provide services and financial support to subsidiaries or any other company; (b) to ensure the shareholding of the PUIG family members as per Art. 5 of the Articles of Association; and (c) to acquire participations in foreign companies dealing with perfumery, cosmetics, beauty and fashion products as well as dermical products, to acquire licenses for these products, to grant sub-licenses abroad, to promote sales, to conduct market research, to provide technical assistance in the same field abroad, and to represent Puig Brands S.A. products abroad. To this end, the Company may provide administrative services and participate in industrial and commercial enterprises. It may also participate in the financing, in particular by providing guarantees and securities of any kind, of other entities of the group to which the Company belongs in the interest of the said group, and establish branches or found subsidiaries in Switzerland and abroad. The company has no commercial activities in Switzerland. It only carries out the activity necessary for its administration in Fribourg. The Company may also carry out all activities directly or indirectly related to the above-mentioned purpose.
