The purpose of the company is to hold and manage participations in commercial, industrial and financial companies based in Switzerland or abroad, to buy, sell and manage securities and capital investments, with the exception of transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company may establish branches and subsidiaries in Switzerland and abroad. The company may grant loans or other financing to third parties, including companies in which it has a direct or indirect interest, as well as direct or indirect shareholders of the company or companies in which these direct or indirect shareholders of the company have a direct or indirect interest, conclude cash pooling agreements with such third parties and provide security of any kind for their liabilities and issue guarantees, in each case whether against payment or not and even if these transactions are in the exclusive interest of the third parties. The company may acquire, manage, encumber and sell real estate and participations in Switzerland and abroad. The company may engage in any other activity that is directly or indirectly related to the aforementioned purposes.
