The company's purpose is to acquire, hold and dispose of commercial properties in Switzerland, in particular retail properties, manage and broker real estate and plan and execute new and renovation projects. All commercial properties must meet the requirements for real estate (as defined below). In addition, the company can acquire, manage and dispose of participations in companies holding commercial properties (as defined below) and establish such real estate companies. A real estate company is qualified if, according to its articles of association (or the equivalent highest order of the company under foreign law), it is only allowed to acquire, hold and dispose of: (i) commercial properties that meet the requirements for real estate (as defined below), and/or (ii) participations in companies that, according to their articles of association (or the equivalent highest order of the company under foreign law), are only allowed to acquire, hold and dispose of such real estate. Real estate companies must have their registered office in a contracting state of the Agreement on the European Economic Area or in a member state of the Organisation for Economic Co-operation and Development. Real estate includes land, land-like rights and comparable foreign rights, as well as the objects required for the use of these lands or rights (in particular, components and accessories). Furthermore, the company can carry out financing of any kind for its own account or for the account of third parties and/or take advantage of such financing, and in particular enter into loan or security transactions with or for direct or indirect parent, subsidiary and other group companies, even if such financing and security transactions are in the exclusive interest of these subsidiary and other group companies. The company can conduct all other business and take all measures that appear to promote the purpose of the company or are directly or indirectly related to it.
