The purpose of the Company is to acquire shareholdings in other companies, as well as to manage these shareholdings, and to buy, sell, market, hold, and distribute oil and derived products as well as other goods and items in Switzerland and abroad. The Company may provide or arrange related services. The Company may open branches and subsidiaries in Switzerland and abroad. It may also acquire shareholdings in other Swiss and foreign companies, with the exception of shareholdings in Swiss companies not listed on a Swiss stock exchange and having a real estate purpose. The Company may grant direct or indirect financing to third parties, to companies in which it holds a direct or indirect shareholding, to direct or indirect shareholders or to companies in which the latter hold a direct or indirect shareholding through loans or other financing or by providing any type of guarantee, with or without consideration. Furthermore, it may conclude cash pooling agreements with other companies in the group. The Company may acquire, encumber, hold, manage, liquidate, and sell real estate, provided that they have an exclusively commercial or industrial purpose, and intellectual property rights in Switzerland and abroad. The Company may also carry out any commercial, financial or other activities, and take all appropriate measures likely to promote the achievement of the Company's purpose or which are directly or indirectly related thereto.
