The purpose of the company is to provide payment services, in particular the issuance and management of physical and electronic payment instruments of all kinds; investments; acquisition, encumbrance, sale and management of real estate, with the exception of transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company may establish subsidiaries and branches, as well as participate in other companies, provided that the company may only establish or participate in real estate companies if the shares of the real estate company are listed on a stock exchange in Switzerland. The company may acquire, hold, encumber and dispose of properties for operational purposes (operational properties) and intellectual property rights. The company may also engage in all commercial, financial and other activities that are directly or indirectly related to the purpose of the company. The company may grant loans and other direct or indirect financing to group companies and third parties, including its (direct and indirect) shareholders and their group companies, including within the framework of cash pooling agreements, and provide security of all kinds for their liabilities, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind, whether remunerated or not.
