The purpose of the company is: (a) the acquisition, holding, management, and use of all shares of Saxo Bank A/S, a company registered in Denmark with the company registration number 15731249 (Saxo), and (b) the acquisition, holding, management, and use of shares and other equity rights in companies that are part of the same financial group as Saxo. The company may establish such companies and branches to become part of the same financial group as Saxo. For this purpose, a company is considered part of the same financial group as Saxo if Saxo has the direct or indirect authority to direct the management and policies of such company through ownership or control of voting shares, by contract, or otherwise, or had such authority immediately prior to the acquisition by the company of shares and/or other equity rights in such company. The company may engage in all other commercial, industrial, and financial activities, investments, or other transactions that are directly related to its purpose or serve to achieve it. It may carry out these transactions for itself or on behalf of third parties, such as Saxo, as a representative or agent, or have them carried out by third parties in its name.
