The purpose of the company is: To provide a wide range of services and personnel to businesses, including but not limited to consulting, assistance, technical, administrative, financial, legal, management, operational and any other related services deemed necessary for the effective operation of businesses, with a focus on meeting the needs of affiliated or controlled companies directly or indirectly by SBM Offshore Group, as well as any other business. To acquire and finance participations in any business in Switzerland and abroad, in any form, excluding any participation in businesses holding residential real estate in Switzerland. Furthermore, it may undertake any activity that is not prohibited by Swiss law, in Switzerland or in any country, namely any commercial, financial or industrial activity. The company may grant loans and other forms of financing to other group companies and third parties (including shareholder companies (direct or indirect) of the company and companies directly or indirectly held by them), as well as provide guarantees in favor of these same companies and third parties (including but not limited to direct or indirect shareholders of the company or companies directly or indirectly held by it) for all kinds of commitments, in particular in the form of sureties, guarantees, pledges or fiduciary transfers of the company's assets, or provide guarantees, take securities or otherwise secure commitments of the company or these other companies, for consideration or not. It may also license, acquire and assign any license and intellectual property right. The company may perform all operations and acts that seem conducive to the realization of its purposes or are compatible with these purposes. Finally, it may create subsidiaries and branches, and acquire real estate in Switzerland and abroad, provided that any real estate that may be held in the context of the aforementioned activities will be exclusively used for commercial purposes.
