The acquisition of direct and indirect participations in all companies, in the sense of a holding company. With regard to real estate participations in Switzerland, these will be limited to an exclusively commercial use, in accordance with the Federal Act on the Acquisition of Real Estate by Foreigners (LFAIE). It may carry out, either on its own account or on behalf of third parties, all financial, commercial, movable or real estate transactions directly or indirectly related to its corporate purpose and may be interested, in any form, in all similar companies. The company may also establish branches and subsidiaries in Switzerland and abroad. The company may grant loans or other direct or indirect financing to its direct or indirect subsidiaries as well as to any other company of the group, including its direct or indirect shareholders and their direct or indirect subsidiaries, and may also guarantee in any way their obligations towards third parties, including by means of pledges, assignments or transfers for security or guarantees of any kind, remunerated or not, even if these guarantees and securities exclusively serve the interests of the direct or indirect shareholders or other companies of the group. Furthermore, it may operate or associate with the companies mentioned above in cash pooling/centralization of net liquidity, including periodic balance adjustments. Finally, it may act as guarantor towards creditors for debts contracted by its direct or indirect subsidiaries as well as by any other company of the group, including its direct or indirect shareholders and their direct or indirect subsidiaries. Finally, the company must preserve the rights of shareholders who do not benefit from the granting of such financing, guarantees, guarantees and/or other securities.
