The purpose of the Company is the acquisition, protection, use and management of the Sky brand, rights related to content and technology and other intellectual property rights and assets, as well as the provision of services in the fields of broadcasting, broadband and telephony and other activities related to this purpose worldwide. The Company may carry out all operations and conclude all agreements that are suitable to promote the purpose of the Company or are directly or indirectly related to them. In particular, the Company may (a) establish branches and subsidiaries in Switzerland and abroad, (b) participate in other companies or merge with them, and (c) acquire and sell or otherwise dispose of real estate in Switzerland and abroad. The Company may grant direct or indirect financing to its direct or indirect subsidiaries as well as to third parties, including its direct or indirect shareholders and their direct or indirect subsidiaries, for their own commitments as well as for those of other companies (including direct or indirect shareholders of the Company or companies in which these shareholders have a direct or indirect participation), issue securities of any kind, including by way of pledges on the Company's assets or fiduciary transfers or assignments of the Company's assets, issue guarantees, provide guarantees or otherwise secure or guarantee obligations of the Company or these other companies, with or without remuneration. Furthermore, it may operate or associate with the companies mentioned above in cash pooling/centralized cash management arrangements, including periodic balance adjustments. The Company may also do all of this without consideration, on preferential terms, without interest, excluding the Company's profit motive, and incurring a concentration of risks.
