The company's purpose, essentially philanthropic and non-profit, particularly in the fields of health and education, open to all, is, in accordance with the values of the Seventh-day Adventist Church: a) to operate, directly or through affiliated entities, clinics or health institutions, in Switzerland and abroad; b) to establish institutions, in Switzerland and abroad, which the Company deems useful for the accomplishment of its work; c) to hold shares or membership rights in legal entities or other institutions, in Switzerland and abroad, which the Company deems useful for the accomplishment of its work; d) to hold, in particular, shares or membership rights in the operating or holding entities of the Clinique de La Lignière in Gland; e) to support any activity of the Seventh-day Adventist Church in the fields of education, publishing, secretariat, etc. The company may carry out, on its own account or on behalf of third parties, any commercial, industrial or financial operation directly or indirectly related to its purpose. The company may create branches and subsidiaries in Switzerland or abroad. It may take participations in (and, more generally, participate in) all companies, regardless of their legal form, in Switzerland or abroad, having a direct or indirect connection with its purpose. The company may acquire, hold, manage and sell real estate, to the extent authorized by federal law on the acquisition of real estate by foreigners. The company may grant loans or any other form of financing to direct or indirect shareholders, companies of the same group and third parties, as well as provide guarantees of any kind for the direct or indirect benefit of direct or indirect shareholders, companies of the same group and third parties, in particular in the form of guarantees, pledges or fiduciary assignments as security on the company's assets, even if these loans, financing or guarantees are granted without the company receiving remuneration or consideration. The company may carry out any cash pooling activity for the account of the group to which it belongs.
