The company's purpose is to operate any type of reinsurance business in Switzerland and abroad, as well as to provide related services to SGS group members. The company may establish branches in Switzerland and abroad, found subsidiaries, participate in other companies, acquire, hold, manage, encumber, utilize and sell real estate and intellectual property rights, and perform all legal acts that may be necessary to achieve the company's purpose. The company may grant loans and other direct or indirect financing to its direct and indirect subsidiaries and third parties, including its direct and indirect shareholders and the direct and indirect subsidiaries of these shareholders, in particular within the framework of cash pooling agreements, and provide security for the obligations of these parties, including by pledging or transferring assets of the company in trust, or by providing guarantees of any kind, regardless of whether they are remunerated or not.
