to operate a dry bulk shipping business and more particularly: (a) to charter ships to and from third parties; (b) to buy and sell voyage freight to and from third parties; (c) to operate ships and conclude bareboat charter, purchase, sale or lease agreements for ships; (d) to buy, sell, invest in or trade derivatives related to freight, bunkers, currencies or other assets in order to promote its commercial interests; and (e) in each case, to perform all ancillary or accessory tasks related to the aforementioned activities. The company may establish subsidiaries and branches and hold interests in all companies, excluding interests in unlisted real estate companies. The company may acquire, hold, encumber and dispose of commercial properties and intellectual property rights. The company may perform all commercial, financial or other operations that are directly or indirectly related to its purpose. The company may grant loans and other direct or indirect financing to group companies and third parties, including its shareholders (direct and indirect) and companies of these groups, including within the framework of centralized cash management agreements (cash pooling), and provide collateral of all kinds for their obligations, including through pledges or fiduciary transfers of the company's assets or guarantees of all kinds, for consideration or not.
