The sole purpose of the company is to acquire, hold, manage, and finance claims as well as related rights arising from a yet-to-be-concluded Receivables Purchase Agreement (agreement regarding the sale of claims) between (primarily) the company as the purchaser of the claims, a Swiss service company as the seller of the claims, CSC Corporate Services (Suisse) GmbH as the corporate services provider, and CSC Trustees Limited as the security trustee, all as part of a claims sale and refinancing transaction of this Swiss service company (the TRANSACTION(S)). In this context, the company is authorized to acquire such claims and to conclude financings (whether by taking out loans or issuing notes, e.g., Senior Loan Notes, Mezzanine Loan Notes, and Junior Loan Notes). In particular, the company may enter into the following contracts (or contracts with a similar economic background, even if their exact designation may vary): Receivables Purchase Agreement (agreement regarding the sale of claims), Servicing Agreement (service contract), Cash Management Agreement (contract regarding the management of cash flows), Corporate Services Agreement (service contract regarding the provision of corporate services), Loan Note Issuance Facility Agreement (contract regarding the issuance and subscription of loan notes), Issuer Claims Assignment Agreement (security assignment agreement), Issuer Account Pledge Agreement (account pledge agreement), Security Trust Deed (security agreement), Issuer Account Bank Agreement (bank account agreement), Master Definitions and Common Terms Deed (framework agreement regarding definitions and general terms), and all other contracts and documents necessary in this context (hereinafter the TRANSACTION DOCUMENTS). The company may not engage in commercial, financial, and other activities that do not directly or indirectly serve the company's purpose. The company may not sell and further transfer claims assigned to it, unless this is provided for in the TRANSACTION DOCUMENTS. It is further prohibited from acquiring or holding real estate, unless the company acquires it through the enforcement of acquired pledges. It may not participate in any companies. It may not grant securities to third parties or provide guarantees, sureties, and the like in favor of third parties, unless this is provided for in the TRANSACTION DOCUMENTS.
