The company's purpose is to trade in automobiles and automobile spare parts and to operate repair workshops, in particular the operation of the AMAG Retail Porsche business unit of the AMAG Group. The company may establish branches and subsidiaries in Switzerland and abroad and participate in other companies in Switzerland and abroad. The company may acquire, hold, manage, exploit and sell real estate and intellectual property rights in Switzerland and abroad. The company may engage in all commercial, financial and other activities that appear to promote the purpose of the company or are related to it. The company may grant direct or indirect financing to companies in which it is directly or indirectly involved, its direct or indirect shareholders, as well as companies in which such companies are directly or indirectly involved, or third parties, whether through loans or other financing, and may provide security of any kind for its own or third-party liabilities, including by way of pledges on or fiduciary transfers or assignments of the company's assets, guarantees of any kind or sureties, or otherwise secure or guarantee the obligations of other companies, whether for consideration or not. Furthermore, it may operate a liquidity adjustment/concentration of net liquidity (cash pooling) with the aforementioned companies or join such a system, including periodic account balancing. This also applies under preferential conditions without interest, excluding the company's profit motive and/or assuming cluster risks.
