The company's purpose is to acquire, manage and dispose of participations in domestic and foreign companies of all kinds, in particular in software development companies and software distribution companies in the field of metal forming technology. The company may also participate in other companies of any kind in Switzerland and abroad, establish, acquire and merge with them. It may acquire, encumber and dispose of real estate and intellectual property rights in Switzerland and abroad, and establish branches and agencies in Switzerland or abroad by resolution of the Board of Directors. The company may grant direct or indirect financing to third parties, including companies in which it is directly or indirectly invested, as well as direct or indirect shareholders or companies in which such parties are directly or indirectly invested, whether through loans or other financing, and provide security of any kind for their liabilities, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind, whether for consideration or not, even if such financing or security is in the exclusive interest of companies in which it is directly or indirectly invested or of direct or indirect shareholders or companies in which such parties are directly or indirectly invested.
