The purpose of the company is to acquire, hold, manage, finance, and dispose of interests in other companies of any kind in Switzerland and/or abroad, to lead and sustainably develop these interests within the framework of a corporate group, as well as to provide the financial and organizational prerequisites for leading a corporate group, particularly through the provision of various types of intra-group services (management services, licensing and sublicensing of software, etc.). The company may also establish branches and subsidiaries, both domestically and abroad, assume representations, and engage in any business activities and conclude any type of contracts that may promote the company's purpose or are directly or indirectly related to it. It may acquire, hold, encumber, and sell real property both domestically and abroad, with the exception of transactions prohibited by the Federal Law on the Acquisition of Real Estate by Persons Abroad (BewG). In particular, the company may grant loans and other direct or indirect financings to its direct and indirect subsidiaries and to third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, within the framework of cash pooling agreements, and provide securities of any kind for their liabilities, including pledges on or fiduciary transfers of the company's assets or guarantees of any kind, whether or not for consideration.
