The company aims to provide management services, primarily for the companies of the Barry Callebaut Group. The company may assume representations, acquire, manage, exploit and transfer patents, trademarks and technical and industrial know-how; provide technical and administrative consulting services; it may establish branches and subsidiaries in Switzerland and abroad and participate in other companies in Switzerland and abroad, as well as acquire, hold and sell real estate. The company may carry out all commercial, financial and other activities that are directly or indirectly related to the purpose of the company. It may act as part of and in the interest of the Barry Callebaut Group and, in particular, grant loans or other financing to other companies in the group and third parties, and provide security of any kind for the liabilities of such other companies, including by way of pledges on or fiduciary transfers of the company's assets or by guarantees or sureties of any kind, whether paid or unpaid.
