The purpose of the company in Switzerland and/or abroad is: (i) to engage in all commercial and service activities in the field of pharmaceuticals, including research, independent or joint development, production, import and export of biological, diagnostic or pharmaceutical products, as well as the acquisition and granting of licenses and all intellectual property rights to biological, diagnostic or pharmaceutical products; (ii) to grant loans and/or other direct or indirect financings (including, but not limited to cash pooling agreements) to its direct and indirect subsidiaries and/or to third parties, including its direct and/or indirect shareholders as well as the direct and indirect subsidiaries of these shareholders; (iii) to provide guarantees and/or other forms of security for one or more shareholders, companies of the group to which the company belongs, and/or one or more third parties, in order to guarantee the obligations and/or liabilities of one or more shareholders, companies of the group to which the company belongs, and/or one or more third parties, provided that this serves the interests of the company.
