The company's purpose is to import, export and trade in foodstuffs of all kinds, as well as to provide related services. The company may also engage in any other administrative activity. It may carry out all financial, commercial and other transactions related to the main purpose. It may establish branches in Switzerland and abroad, set up subsidiaries, participate in related companies, acquire, manage and dispose of real estate, except for transactions prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad of December 16, 1983. In pursuing its corporate purpose, the company may take into account the interests of its direct and indirect shareholders. In particular, the company may grant loans and other direct or indirect financing to its direct and indirect subsidiaries and third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, including within the framework of cash pooling agreements, and provide security of any kind for their liabilities, including by way of pledges on or fiduciary transfers of the company's assets or guarantees of any kind, whether paid or unpaid.
